BYLAWS


ARABIAN HORSE ASSOCIATION OF NEW ENGLAND (AHANE) BYLAWS

Incorporated in the state of New Hampshire 1954. Recognized as an affiliate organization of the International Arabian Horse Association (IAHA). Robert's Rules of Order shall be the standard of conduct for this organization.

Section 1 Purpose
To encourage breeding, exhibiting and promotion of the Arabian horse. To help educate those individuals interested in perpetuating the Arabian breed.

Section 2 Membership
Open to any individual interested in perpetuating the qualities of the Arabian horse and in actively promoting and supporting the club activities to that purpose.
Types of Membership:

1. Individual Adult Affiliate, (18 years & over - Voting)
2. Individual Senior Adult, (60 years & over - Voting)
3. Individual Affiliate Youth, (Under 18 years - Non Voting)
4. Honorary Life Membership, Granted to an individual who has displayed outstanding service to AHANE. This membership may be granted by a majority vote of the Board of Directors. This person shall be exempt from paying the AHANE club portion of their dues for life.

Membership may be denied to any person not meeting the requirements of the AHANE By-laws or who does not meet the standards of good sportsmanship as determined by the Board of Directors. No member will have exhibited any actions detrimental to other members of AHA or any animal. Cruelty or unlawful behavior to any animal or person will not be tolerated.

Section 3 Voting
1. Each individual adult affiliate member in good standing shall have one vote.
2. Junior Members shall have no voting privileges.
3. A member shall be considered in good standing if they have paid their annual dues and any other financial obligations to AHANE, and who has not violated any other rules of AHA and this organization, this shall include the rules set forth in the AHANE show prize list.

Section 4 Dues
1. Affiliate dues to AHA are set by AHA. AHANE club dues are set by a majority vote at the AHANE annual meeting. Any dues increase initiated by AHA shall automatically be passed on to the AHANE membership.
2. Dues for the membership year shall be paid by December 15 of the previous year. A $10.00 late fee shall be assessed by AHA for dues received after December 15.
3. Any member who fails to pay dues, show fees, ad fees, or whose account is outstanding is not considered a member in good standing and shall be subject to sanctions imposed by both AHANE and AHA.

Section 5 Officers & Board of Directors
The Officers of this organization shall be President, Vice President, Treasurer and Secretary. The officers shall hold their office for a two year term, or until their successors are elected. Officers shall be elected by a majority vote of the membership. Any vacancy shall be filled by a majority vote of the Board of Directors.

1. President: Shall preside at all meetings and shall have the general and active management of the organization. He/she shall have the general supervision of all officers, directors, and committee chairs and shall see that their duties are properly performed.
2. Vice President: In the absence of the President shall have all the powers of the President. In the absence of both the President and the Vice President the Board of Directors shall appoint a President pro-tem.
3. Secretary: Shall manage all correspondence, maintain all documents, record all votes, and keep minutes of all meetings. In the absence of the Secretary the President may appoint a temporary recording secretary.
4. Treasurer: Shall keep an accurate account of all receipts and disbursements of AHANE.and he/she shall disburse, invest or transfer the funds of the organization as ordered by the Board of Directors and the President, and shall maintain an account of all transactions and make available for review the condition of said accounts as requested by the Board and the President. A financial report shall be given at each meeting by the Treasurer. All books must be surrendered immediately to the President or the Treasurer's successor upon termination of office. The books of the organization may be subject to an outside audit on a biannual basis or as determined by the President or the Board of Directors.
5. Each officer shall automatically be a member of the Board of Directors. There shall be four directors who will be elected by a majority vote for a two year term.
6. If the office of a director becomes vacant the Board may by a majority vote elect a successor to fill the term.
7. All Officers and Directors must be members in good standing and must have their membership paid by June 30 for the year of their initial election and thereafter by December 15 to continue as an AHANE Officer or Director.
8. Meetings of the Board of Directors may be called by the President or any 3 members of the Board. All Board members must be notified at least 10 days prior to holding a Board meeting. A quorum must be present to conduct business. A quorum shall consist of 4 Board members.

Section 6 Delegates
Delegates and Alternates to the AHA convention shall be appointed by the President and shall serve on the Board of Delegates to Region 16. They must be members in good standing and have paid their dues prior to May 15 of the year they are to serve as a delegate.

Section 7 Committees
1. The Chairmen and members of all committees shall be appointed by the President and shall serve at the discretion of the President. The standing committees of AHANE are: Membership, Show Committee, Year End Awards, Trail, Youth Judging and Nominating.
2. The President and Board of Directors may from time to time form other committees as deemed appropriate.

Section 8 Elections
1. A Nominating Chairperson shall be appointed by the President not less than 60 days prior to elections. The Chair shall seek to find suitable members who are willing to run for the various positions of Officers and Directors of AHANE. Officers and Directors must be members of AHANE prior to June 30 of their election year.
2. Any member may choose to run for any office or board position of AHANE and should notify the President or Nominating Chairman 45 days prior to an election so their name may be placed on the ballot.
3. The election of Officers and Directors shall take place every 2 years.
4. Ballots shall be mailed to the membership 30 days prior to an election by the Secretary or Nominating Committee Chairman and shall be returned to the Nominating Chairman no later than November 30.
5. Officers and Directors shall be installed at the annual meeting and shall assume their duties at that time.

Section 9 Meetings
1. The Annual Meeting of AHANE shall be held prior to March 31 of the new membership year but not prior to December 1 of the previous year.
2. Notice of the annual meeting shall be given 30 days prior to the meeting.
3. A quorum of the membership must be present to conduct business. 15 members shall constitute a quorum at the annual meeting.
4. Special meetings may be called as deemed necessary by the President or the Board of Directors.

Section 10 Suspension
Suspension shall lbe determined by the guidelines set forth in the AHA Rule Book, Articles 301-308 and Articles 401-408, and as determined by the rules set forth in these By-laws and by a majority vote of the AHANE Board of Directors. Any individual must be informed in writing of the allegations at least 10 days prior to their hearing, and shall be informed in writing of the results of that hearing.

Section 11 Dissolution
This organization m ay be dissolved by a two-thirds vote of the members present at a recognized meeting and entitled to vote in accordance with the provisions in these By-laws.

Notice must be mailed to the membership 30 days prior to said meeting. Upon dissolution all remaining assets shall be turned over to an organization meeting the qualifications of a nonprofit organization meeting IRS codes.

Section 12 Amendments and Changes to By-laws
A majority vote of the membership voting by a mail in ballot or at the Annual meeting shall be required to amend or change these By-laws. Ballots must be returned within 10 days of receipt to the AHANE Secretary.
